Playtika completed its acquisition of mobile game developer SuperPlay on November 20, 2024. The widely cited “up to $1.95 billion” figure is the deal’s maximum potential consideration—not cash paid at closing. The agreement called for $700 million upfront, subject to customary working-capital adjustments, plus as much as $1.25 billion in performance-based earnouts.
Did Playtika acquire SuperPlay?
Yes. Playtika announced a definitive agreement to acquire SuperPlay on September 18, 2024, and said the transaction closed on November 20, 2024. The deal is completed; the earnout portion remains dependent on SuperPlay’s results over the specified performance period.
Playtika presented the acquisition as a way to add established games, SuperPlay’s development team, and exposure to the Coin Looter and Board categories. Those were the company’s stated strategic aims, not independently established outcomes. In the announcement, Playtika CFO Craig Abrahams said the acquisition would diversify the portfolio with proven titles and strengthen the company’s competitive position.
How much did Playtika pay for SuperPlay?
The $1.95 billion headline is the maximum sum of the stated upfront consideration and potential earnouts. It should not be read as the amount Playtika paid at closing or as a finalized purchase price.

Playtika’s SEC filing describes earnout payments after each applicable measurement period. Its 2025 annual report also describes approximately $50 million in employee awards, a separate item—not part of the $700 million upfront consideration or the potential earnout.
When will the SuperPlay earnout be determined?
The earnout depends on performance during calendar years 2025, 2026, and 2027, with eligibility and amounts tied to revenue and Adjusted EBITDA. Playtika’s investor presentation described the structure as linking additional consideration to revenue-growth and Adjusted EBITDA profitability thresholds.

Playtika’s 2025 annual report reports cash consideration paid net of acquired cash, but does not settle all earnout outcomes for the full 2025–2027 period. A final realized total cannot be established from those figures alone.
