Who bought Electronic Arts?
The acquiring consortium consists of Saudi Arabia’s Public Investment Fund (PIF), Silver Lake and Affinity Partners. PIF already held a 9.9% stake in EA and agreed to roll that stake into the transaction, according to EA’s announcement.
What does the $55 billion figure mean?
EA described the announced deal as an all-cash transaction with an enterprise value of approximately $55 billion. That figure is not the cash payment to each shareholder: the announced consideration was $210 for each EA common share. In its filed announcement, EA described the financing as approximately $36 billion in equity investment, including PIF’s rollover, and $20 billion in debt financing committed by JPMorgan Chase Bank, with $18 billion expected to be funded at closing. At closing, EA said holders would receive $210 in cash for each share they held as of the closing. EA also said its common stock ceased trading and would be delisted from NASDAQ. What has EA said about its plans after the deal?
At closing, EA CEO Andrew Wilson said the company would “invest boldly, accelerate innovation, and build the next generation of games and experiences.” Silver Lake CEO Egon Durban said the consortium intended to invest in EA’s growth, including exploring how AI could enhance game development and player experience.
