GameSquare’s fiscal 2025 Form 10-K recorded an $8.1 million reserve against the seller-financed note from its sale of Complexity Gaming and said it expected to collect the remaining $0.5 million through settlement. The filing does not say that the $8.1 million was paid in cash or that settlement was complete. Months earlier, according to secondary reporting quoting founder Jason Lake, Complexity had decided to shut down at the end of 2025.
What GameSquare’s $8.1 million reserve means
GameSquare’s fiscal 2025 Form 10-K, filed in 2026, reported an $8.1 million reserve against the promissory note receivable from the buyer of Complexity Gaming. It also said the company expected the remaining $0.5 million to be collected through settlement. Those are accounting and expected-recovery statements: the reserve is not evidence that GameSquare paid $8.1 million in cash, and the expected $0.5 million is not proof that settlement had already been completed. The filing includes Complexity’s historical results in discontinued operations. It does not establish that the reported shutdown caused the reserve, nor does it describe the later shutdown decision.
How the sale left GameSquare with a large note
On March 1, 2024, GameSquare announced that it had sold NextGen Tech, LLC, doing business as Complexity Gaming, to Global Esports Properties, an investor group led by Complexity founder and CEO Jason Lake. GameSquare put the total consideration at approximately US$10.36 million. Its announcement described two parts:

Thus, most of the announced consideration was deferred rather than payable at closing. The release also said GameSquare could receive 50% of proceeds from certain Global Esports equity raises above US$500,000, with those proceeds credited against the note principal. That provision linked qualifying fundraising to the amount owed; it did not say that fundraising was prohibited. GameSquare’s March 1, 2024 sale announcement.
The Esports Advocate later reported that filings put the note principal at about $9.5 million and its due date at February 28, 2027. Those later figures and the outlet’s explanation of the proceeds provision are secondary reporting, rather than terms independently verified here from the underlying later filing. What the filings say about Complexity’s finances
GameSquare’s 2024 Form 10-K reported a $1.4 million pretax loss from Complexity for fiscal 2024. The reported figures were $1.0 million in revenue, $0.9 million in cost of revenue and $1.5 million in operating expenses. Complexity was treated as a discontinued operation after the sale. When the shutdown decision was reported
The shutdown account comes from The Esports Advocate, not GameSquare’s 10-K. The outlet reported that a video Jason Lake posted to X on September 23 said Complexity had decided at the end of 2025 to shut down. It quoted Lake as explaining that the organization assessed its business and prospects for raising capital to repay the seller-held note before deciding on an orderly closure.

“We surveyed the landscape, surveyed where the business was at, and prospects for raising capital to pay off the seller-held note, and decided the best thing to do was to shut it down in an orderly and professional way,” Lake said, as quoted by The Esports Advocate.
The outlet’s account attributes both the timing and explanation to Lake. It should not be conflated with the accounting facts in GameSquare’s filing or treated as independent confirmation of the video’s transcript.
