What was Roblox valued at when it went public?
Roblox’s public-market debut was reported at a $41.9 billion valuation. That is the headline market-value figure associated with the listing, not a share price. The SEC materials cited here confirm the transaction and provide dated share counts, but they do not establish the exact first-trade price and capitalization basis used to calculate $41.9 billion. It is therefore best treated as a reported valuation rather than a figure independently derived from those filings.
What was Roblox’s direct-listing reference price?
The NYSE reference price was $45 per share, according to contemporaneous Bloomberg reporting republished by the Los Angeles Times. It was a benchmark for the opening process—not an IPO-style offer price and not, by itself, a direct measure of Roblox’s market capitalization.
Roblox disclosed a different per-share figure in its SEC prospectus: an independent fair-value estimate of $41.52 per Class A share as of December 31, 2020. Financial advisers were expected to provide that estimate to the designated market maker as one input in the opening process. It was neither the NYSE reference price nor the eventual opening trade price. Roblox’s amended S-1 prospectus describes the estimate and the planned price-discovery process.

How did Roblox’s direct listing work?
Roblox chose a direct listing after considering an IPO or an underwritten offering. Rather than having underwriters set a pre-agreed offer price through the conventional IPO book-building process, the company expected the NYSE opening price to emerge from buy and sell orders submitted by broker-dealers. Under NYSE rules, a designated market maker would set the opening price in consultation with financial advisers. Roblox identified Goldman Sachs, Morgan Stanley and BofA Securities as advisers in its prospectus.
The NYSE’s general direct-listing explainer describes price discovery through an opening auction in which supply and demand determine the price. The explainer also describes a current option for companies to raise capital through a direct listing; that general feature should not be read back into Roblox’s 2021 transaction. Contemporaneous reporting said Roblox would not raise capital in the listing.

How is a direct listing different from an IPO?
In an underwritten IPO, a company and its underwriters set an offering price and arrange sales of shares in the offering. Roblox’s 2021 direct listing instead relied on an NYSE opening process that matched market buy and sell orders to establish the public opening price. That difference matters when reading the $45 reference price: it was not a price at which Roblox promised to sell newly issued shares.
Roblox’s prospectus warned that the opening price could be more volatile than an underwritten IPO price because there was no underwriter-set price or underwriter book-building process for this listing. Existing registered stockholders could sell shares after trading began, but Roblox said there was no assurance that any particular holder would do so. The company completed the Class A listing on March 10, 2021, as confirmed in its 2021 Form 10-K.

What share counts did Roblox disclose before listing?
Roblox’s prospectus reported 493,253,146 Class A shares and 57,287,302 Class B shares outstanding as of January 15, 2021, after giving effect to the expected conversion of preferred shares. The company said each Class B share was convertible into an equivalent Class A share. These are dated basic share counts, not an independently verified fully diluted count for calculating the $41.9 billion headline valuation. The prospectus provides the share-count context.
