Are Ubisoft shareholders negotiating a sale now?
The latest documented account of possible company-wide buyout discussions in the reviewed sources is Reuters’ December 6, 2024 report. Reuters, republished by Investing.com, said the Guillemot family had discussed a possible management-led buyout with Tencent and other investors. The account was based on two unnamed people familiar with the discussions, not on a public term sheet or announcement by the parties.
Reuters reported that the family wanted to retain control, while Tencent was seeking greater influence over future board decisions, including how cash flow would be distributed, in return for financing. The report said those points had not been agreed and that Tencent had not decided whether to join the buyout. Ubisoft’s spokesperson told Reuters: “We remain committed to making decisions in the best interests of all of our stakeholders”.
Subsequent public records covered other developments, but do not confirm that whole-company negotiations continued, ended, resumed or reached terms. So the evidence supports saying that talks were reported in December 2024; it does not support presenting a current Ubisoft sale as established fact.

What did Tencent invest in?
Vantage Studios, a Ubisoft subsidiary
Ubisoft’s 2026 annual meeting transcript says an agreement finalized in November 2025 gave Tencent 26.32% of Vantage Studios’ share capital and voting rights in exchange for €1.163 billion. Vantage is a Ubisoft subsidiary, so this was a minority investment in part of Ubisoft’s business—not a disclosed purchase of Ubisoft as a whole.
In March 2025, Le Monde described the reorganization that created Vantage Studios and quoted CEO Yves Guillemot describing the subsidiary and Tencent’s minority investment as a way to “crystallize the value” of assets. That reporting helps explain the subsidiary transaction; it does not establish terms for a company-wide buyout.

Why the distinction matters
A Vantage Studios investment and a Ubisoft buyout differ in what changes hands and who would control the parent company. The Vantage transaction concerns a minority stake in a subsidiary. A company-wide sale would concern Ubisoft itself and would require terms addressing ownership, voting control, governance, financing and any applicable contractual rights. The available sources do not disclose such final terms for a whole-company transaction.
What do the latest disclosed Ubisoft shareholdings show?
Ubisoft’s ownership declaration reports positions as of May 27, 2026. It distinguishes capital ownership from voting rights; the percentages are not interchangeable.

The declaration says the family concert did not intend to take control of Ubisoft at that time and could continue purchases depending on market conditions. Those statements describe the position declared in May 2026; they do not reveal whether private discussions took place later.
How does the 2022 agreement shape possible share sales?
Ubisoft’s 2024–25 Universal Registration Document describes a master agreement dated September 6, 2022, involving Ubisoft, Tencent and Guillemot-related parties. It sets limits and rights relevant to certain share transactions, but it is not evidence that a buyout has been agreed.

- Tencent’s holding: Under specified circumstances and subject to exceptions, Tencent agreed for eight years not to increase its direct or indirect Ubisoft holding above 9.99%. It also accepted a five-year lock-up on Ubisoft securities, subject to stated exceptions.
- Family’s potential stake: The agreement provides that the extended family concert could increase its stake to 29.9% under the agreement. This is a contractual possibility, not a statement that the family reached that level.
- Rights around certain sales: The family, Guillemot Corporation SA and Guillemot Brothers Ltd received rights of first refusal for proposed sales to identified third parties, and rights of first offer for certain market sales or public offerings.
- Duration and governing law: The master agreement has a 15-year term and is subject to French law.
The agreement’s limits and transfer rights would matter to some potential transaction paths. The cited document does not supply final terms for a sale of Ubisoft, nor does it establish how any particular hypothetical buyout would be structured.

Le Monde reported in February 2026 on Ubisoft’s reorganization and described possible future Tencent involvement in Vantage Studios as a scenario discussed by an analyst. An analyst’s scenario is not evidence of an agreed transaction involving Ubisoft as a whole. Together, the later reporting and public records document restructuring, a subsidiary investment and declared ownership positions; they do not settle the status of any private company-wide sale talks.
