An indie studio can license a movie, television, comic, music, or other entertainment property for a game when the rights holder (or an authorized licensing representative) agrees to a contract covering the proposed use. Popularity, a non-commercial release, or a fan-project disclaimer does not create permission.
The difficult part is not asking whether a franchise is famous enough. It is identifying every right involved, reaching the correct decision-maker, presenting a credible project, and negotiating a license that works across development, launch, updates, marketing, and the platforms where the game will actually be sold.

What an entertainment IP license gives an indie developer
The UK Intellectual Property Office describes a licence as “a contractual agreement between the copyright owner and user which sets out what the user can do with a work.” In game terms, that contract is the boundary between an authorized adaptation and an infringement claim.
A license may authorize particular characters, names, logos, settings, story elements, artwork, music, footage, or other protected material. It can also authorize the creation of new game content derived from those elements. Permission is normally limited rather than absolute: a deal may cover one game, certain platforms, selected countries, a fixed term, or a specific product category. Unless the agreement says otherwise, assume that an unlisted use is not covered.

Copyright is only one layer. A proposed game can also involve trademarks, music copyrights, performer or likeness rights, publicity rights, distribution rights, and territory-specific approvals. The party that owns a film may not control its soundtrack, a character’s likeness, or game rights in every country. Your first job is therefore a rights investigation, not a pitch email.
Who must approve the game?
Build a rights map before contacting anyone. List each element you intend to use and the party that appears to control it.
- Copyright: the underlying film, series, comic, script, artwork, dialogue, and other creative material.
- Trademarks: franchise names, logos, slogans, character names, and distinctive symbols.
- Music: composition, sound recording, publishing, synchronization, and master-use rights may belong to different owners.
- Performers and likenesses: an actor’s name, image, voice, motion capture, or distinctive performance can require separate clearance.
- Publishers and distributors: regional or media-specific rights may have been granted to another company.
- Licensing representatives: an agent or intermediary can negotiate only the rights it is authorized to sublicense.
Ask the contact to confirm that it can grant every right your game will use, in every territory and on every platform you plan to support. A company that handles merchandise licensing, for example, may not be authorized to license a video game.

1. Define the exact rights package
Write a one-page rights brief before approaching a rights holder. Name the property, characters, locations, logos, music, footage, and story elements you want. Add the planned game modes, user-generated content, downloadable content, streams, trailers, store-page images, and influencer materials. Note your target platforms, countries, languages, release window, monetization model, and whether you need sequel or update rights.
This list prevents a common failure: obtaining permission for a character but not for the music, actor likeness, logo, or territory in which the game will launch.
2. Prepare a rights-safe pitch
Create a vertical slice or a detailed concept that demonstrates the gameplay loop without publishing protected assets. Your pitch should explain:
- the overall vision and how the IP is integrated into play rather than pasted onto an unrelated game;
- the audience, comparable player experience, and expected engagement;
- the platforms and territories you intend to serve;
- the monetization model, including premium sales, free-to-play purchases, advertising, subscriptions, or platform-specific sales;
- the team’s relevant development, production, and licensing experience;
- the production schedule, budget range, milestones, and launch window;
- the precise IP elements requested and any new derivative material you propose to create.
Do not release a trailer, store page, playable build, crowdfunding campaign, or social post that uses protected assets while permission is pending. A disclaimer saying “unofficial” or “for fans” does not replace a license.

3. Find the correct licensing channel
Start with the rights holder’s official licensing department or an authorized representative. Verify what the channel handles before sending confidential material. Some owners route game opportunities through agents, platform marketplaces, or formal request systems; others do not accept unsolicited game ideas.
Roblox provides a structured example. Its Creator Hub says, “A license allows you to create a Roblox game or Marketplace item using IP.” Creators can browse a Licenses catalog and request available properties. A full-game request includes a pitch, after which the rights holder may approve, reject, or issue conditional approval. Roblox also separates full-game permissions from in-game-sales and Marketplace licenses. Those routes are useful only for properties and uses offered through that platform; they are not a general substitute for negotiating with every entertainment company.
4. Negotiate a long-form agreement
A positive reply or a preliminary conversation is not a license. Have an entertainment or intellectual-property lawyer review the long-form contract before development depends on it. The UK Intellectual Property Office recommends specialist legal advice for copyright and contract matters, and the World Intellectual Property Organization’s Mastering the Game notes that game agreements commonly make the developer or publisher responsible for having third-party rights and for infringement-related losses and costs.
5. Operate an approval and compliance process
Keep an asset-and-rights ledger showing the source, permission, territory, term, approval status, and permitted use for every protected element. Route scripts, builds, art, trailers, store listings, influencer campaigns, and major updates through the approval process promised in the contract. Preserve signed documents, approval emails, version numbers, and submission dates so the team can prove what was authorized.

The following points determine whether a deal is commercially usable. They should appear in the agreement rather than being left to informal correspondence.
| Contract area | Questions the agreement should answer |
|---|---|
| IP scope | Which characters, names, logos, settings, story elements, art, music, footage, likenesses, and derivative works are included? |
| Media and platforms | Does permission cover PC, consoles, mobile, cloud streaming, physical editions, demos, DLC, patches, user-generated content, and gameplay streams? |
| Territory and language | Is the license worldwide or limited to named countries? Who controls localization, censorship, ratings, and translated marketing? |
| Term and renewals | When does the development period begin and end? Is there a launch window, renewal option, sequel or update right, and post-expiry sell-off period? |
| Exclusivity | Is the license exclusive, and if so, only for a platform, territory, product category, or defined period? |
| Approvals | Which scripts, builds, art, trailers, store pages, influencer materials, and brand-guideline decisions require approval, and how long may approval take? |
| Money | What advance or minimum guarantee is due? How are royalties or revenue shares calculated, reported, audited, taxed, and adjusted for platform fees or recoupment? |
| Warranties and indemnity | Who promises that the rights are available, who handles infringement claims, what insurance is required, and who pays for takedowns, recalls, or replacement assets? |
| Termination | What happens after an uncured breach, loss of underlying rights, insolvency, or a morality-clause event? What happens to existing players, inventory, downloads, and DLC? |
Pay particular attention to rights that arise after launch. A contract that permits the initial release but says nothing about patches, seasonal content, a sequel, cloud versions, or a player-created level editor can leave the studio unable to maintain the product lawfully.
Roblox as a platform-specific licensing example
Roblox’s published guidance requires creators to review revenue-share terms, duration, content standards, and brand guidelines. Its full-game pitch guidance asks for the overall vision, relevant team experience, IP integration, audience engagement, monetization, creative design, and gameplay. If an IP is not in the catalog, Roblox says the creator must have explicit permission from the rights holder.

Roblox also warns that license requests are subject to its content standards, duration, and revenue-share terms. Its FAQ states that unlicensed use can lead to removal and that rights holders may pursue infringement remedies. Treat the catalog as a property- and platform-specific workflow, not as evidence that a franchise is available for a standalone PC or console game.

Why direct studio outreach can fail
Not every “licensing” page accepts game proposals. Bandai Namco’s licensing page lists properties such as PAC-MAN, TEKKEN, and DARK SOULS, but its disclaimer says: “Please do not submit any game ideas, clearance or permission requests, or any other submissions unrelated to merchandise licensing via this portal.” It also says that a submission does not grant permission or rights.
This illustrates two practical rules: verify the exact business channel before sending confidential materials, and never interpret a web form, an acknowledgement email, or a list of available merchandise properties as a game-license offer.
How much does an indie IP license cost?
There is no reliable universal royalty percentage, minimum guarantee, approval time, or “indie price.” Economics depend on the property, the rights package, territory, exclusivity, expected audience, platform mix, project risk, and the developer’s bargaining position. A platform’s illustrative revenue-share example describes only that platform’s terms; it is not an industry benchmark for a film or television license.
Budget for more than a headline royalty. Legal review, insurance, localization, reporting, audits, approval revisions, compliance work, and replacement assets after a rights change can all affect the total cost. Ask for a written schedule of payments and define exactly how platform fees, taxes, refunds, chargebacks, bundles, subscriptions, and promotional discounts affect the royalty calculation.

Can a free fan game use a famous character?
Free distribution does not eliminate the need for permission. A non-commercial fan game can still copy protected expression, use trademarks in a way that suggests sponsorship, or exploit a performer’s likeness. A disclaimer may explain your intentions, but it does not grant rights. The rights holder can request removal or pursue infringement remedies, and a platform may remove the game under its own policies.
If you want to experiment before licensing, use original characters, original names, and original art in the prototype. Keep the mechanics and audience proposition that you can demonstrate without publishing the protected franchise.

Can you pitch before you have the license?
Yes, pitching is normally how a developer seeks a license, but the pitch must be framed as a request for permission, not as evidence that permission already exists. Use a rights-safe prototype, identify the specific elements requested, and avoid public claims that the studio is making an official game. Follow the recipient’s submission rules and confirm whether the channel accepts unsolicited game concepts.
Do not commit to a public release date, announce a partnership, raise money on the assumption of approval, or sign downstream deals that require rights you do not yet control. Make any commercial schedule conditional on execution of the license.
Common failure points and recovery actions
The contact controls only part of the IP
Symptom: You receive permission for the franchise name but cannot clear a song, actor likeness, logo, or regional distribution right.
Fix: Return to the rights map, identify the missing owner, and make the contract conditional on all required permissions being secured.
The pitch uses protected assets too early
Symptom: A trailer, demo, or crowdfunding page is already public before approval.
Fix: Remove the material promptly, preserve records of what was published, and replace it with original placeholder assets until written rights are in place.
The license is too narrow for the business plan
Symptom: The agreement covers a PC launch but not consoles, mobile, cloud play, DLC, streams, or a second territory.

Fix: List every intended channel during negotiation and price renewal, expansion, and post-expiry rights before signing.
Approvals make the schedule impossible
Symptom: The rights holder can reject or revise every asset without a response deadline.
Fix: Negotiate submission formats, review windows, escalation contacts, deemed-approval rules where acceptable, and a change budget for required revisions.
Termination strands the released game
Symptom: A rights loss or breach ends the license while players still own the game or while inventory remains.
Fix: Define sell-off periods, continued access for existing players, support obligations, takedown procedures, and the treatment of downloadable content.
Pre-signing checklist for an indie team
- Have we identified the copyright, trademark, music, likeness, publisher, and territory rights?
- Can the proposed contact sublicense every element and country we need?
- Does the pitch explain gameplay, audience, platforms, monetization, team, budget, and schedule?
- Are all public prototypes and marketing materials free of unlicensed protected assets?
- Does the draft cover scope, media, territory, term, renewals, exclusivity, approvals, money, warranties, indemnity, termination, and post-expiry rights?
- Are reporting, audit, tax, platform-fee, refund, and recoupment rules understandable?
- Has a lawyer experienced in entertainment or IP licensing reviewed the agreement?
- Do we have a ledger and approval workflow that will survive staff turnover and live updates?
The practical answer
Indie developers can license famous entertainment IP, but the project is viable only when the right party grants a written, sufficiently broad license and the team can meet its approval, payment, reporting, and compliance obligations. Treat the property as a bundle of rights, not a single permission; treat a pitch as a request, not authorization; and keep the game private or original until the contract is signed.
