Electronic Arts has been acquired and is now privately owned. The consortium of Saudi Arabia’s Public Investment Fund (PIF), Silver Lake and Affinity Partners agreed to buy EA in September 2025 in a transaction valued at approximately $55 billion in enterprise value. Eligible EA stockholders were to receive $210 per share in cash—not a share of the $55 billion enterprise value. Stockholders approved the deal in December 2025, required regulatory approvals were reported by July 30, 2026, and the Associated Press reported the acquisition closed by August 5, 2026.
Who bought EA?
The buyers were the Public Investment Fund (PIF), private investment funds affiliated with Silver Lake, and private investment funds affiliated with Affinity Partners. Under the merger agreement, EA survives as a wholly owned subsidiary of the acquisition parent.
EA signed the agreement on September 28, 2025, and announced it publicly on September 29. PIF’s existing 9.9% stake in EA was to roll over into the transaction rather than be cashed out as a separate new investment. EA’s announcement described the buyer group and transaction structure.
What did the $55 billion figure mean?
EA described the deal as approximately $55 billion in enterprise value. That is a measure of the transaction’s overall value, not the amount paid directly to each shareholder. The stated cash consideration for eligible EA shares was $210 per share, without interest, under the merger agreement.

The $210 consideration and premium were stated in EA’s announcement and the SEC-filed merger agreement. The deal’s enterprise value should not be read as a per-share payment.
How was the acquisition financed?
EA’s announcement described approximately $36 billion in equity financing, including PIF’s rollover stake, and $20 billion in committed debt financing. JPMorgan Chase Bank, N.A. was the sole and full debt commitment provider at announcement; $18 billion of the debt was expected to be funded at closing.

In its June 2026 quarterly filing, EA said notes had been issued and the debt facilities syndicated. The filing also said the merger was not subject to a financing condition. In other words, the agreement’s completion did not depend on buyers obtaining financing as a closing condition, even though the transaction included substantial debt financing. EA’s June 30, 2026 Form 10-Q reported those financing developments.
When did the deal close?
The acquisition is complete. EA stockholders approved the merger on December 22, 2025. EA reported that all required regulatory approvals had been obtained as of July 30, 2026, while its filing still referred to customary closing conditions remaining and anticipated an August 4 closing. The Associated Press subsequently reported on August 5, 2026, that the transaction had closed. This later report—not the earlier expected date—is the basis for describing EA as acquired.

EA said it would remain headquartered in Redwood City, California, and continue to be led by Andrew Wilson as CEO after completion. Wilson said in the September 29, 2025 announcement: “Looking ahead, we will continue to push the boundaries of entertainment, sports, and technology, unlocking new opportunities.” That was his statement at the time of the announcement, not evidence of a later policy or outcome.

Private ownership could give EA more freedom to make long-term development decisions without the same public-market pressures, while the transaction’s debt burden could also create pressure to reduce costs. The Associated Press presented these as differing possibilities, not confirmed changes. The cited reporting does not establish what the acquisition means for future staffing, creative control, game release plans, or EA’s use of AI.
