It was a deal structure and strategic pitch: Embracer offered resources and decentralized ownership, while Gearbox’s owners received cash, Embracer shares and up to $1.015 billion in additional, performance-linked consideration. Randy Pitchford stayed at the helm and became a significant Embracer shareholder alongside Gearbox employees. Three years later, Embracer agreed to sell most of Gearbox to Take-Two—but the 2024 sale was not a like-for-like reversal of the 2021 deal.
What Embracer agreed to buy in 2021
On February 3, 2021, Embracer announced a merger agreement to acquire Gearbox. Once completed, Gearbox would become Embracer’s seventh operating group and a wholly owned subsidiary. Gearbox founder and CEO Randy Pitchford would continue leading the company, while Pitchford and Gearbox employees would become significant Embracer shareholders. Embracer’s announcement described the terms and the parties’ rationale.
The day-one consideration was $363 million on a cash-free, debt-free basis. That included $175 million in newly issued Embracer B shares, with the rest paid in cash. The agreement also provided for up to $1.015 billion in additional consideration, contingent on agreed financial and operational targets over six years. To receive the maximum additional consideration, adjusted EBITDA including expensed development costs had to exceed $1.3 billion over that period. The often-cited $1.378 billion figure is therefore a sum of day-one consideration and maximum conditional consideration—not a guaranteed purchase price.
Embracer completed the acquisition in April 2021. Its closing announcement covered Gearbox alongside two other simultaneous acquisitions, Aspyr and Easybrain, so the aggregate figures in that release should not be read as Gearbox-only consideration. Embracer’s completion announcement confirms the closing.

Why Embracer and Pitchford said the deal made sense
Embracer presented Gearbox as a creative AAA developer with North American publishing capabilities and a portfolio that included Borderlands, Brothers in Arms and Homeworld. CEO Lars Wingefors said Embracer’s resources could help Gearbox grow. Pitchford, in turn, praised Wingefors’s model of decentralized entrepreneurial companies and a diversified group.
Pitchford’s statement captures the strategic pitch, rather than independently proving that the model would succeed:
“Lars’s vision of Embracer as an allied partner group committed to fueling and accelerating the ambitions of a series of decentralized, successful entrepreneurial member companies while magnifying the collective value and advantages of diversification across the entire group is the most brilliant strategy and design for short, medium, and long-term success in this industry that I have worked in during 30 years.”

The ownership component gave that pitch a financial dimension: Pitchford remained Gearbox’s leader and, with employees, gained a significant stake in the parent company. The announcement does not establish how much any individual received or prove that the arrangement delivered the intended benefits.
The financial snapshot Embracer cited
Embracer’s 2021 announcement reported Gearbox net sales of SEK 1,037 million and adjusted operational EBIT of SEK 417 million for January 1–September 30, 2020. Those figures were preliminary and prepared under Embracer’s accounting principles. For calendar 2019, the company reported net sales of SEK 1,052 million and adjusted operational EBIT of SEK 317 million. These are company-reported figures from different reporting periods, not an independent valuation of Gearbox.

What changed when Embracer sold Gearbox to Take-Two
On March 28, 2024, Embracer announced an agreement to divest Gearbox Entertainment to Take-Two Interactive. The headline consideration was $460 million, or SEK 4.9 billion, on a cash-free, debt-free basis and assuming normalized working capital. Take-Two shares—not cash—would make up the consideration at closing, subject to customary adjustments. Embracer separately estimated net cash proceeds of approximately $300–330 million after adjustments, transaction costs, share sell-down and earnout settlements. The headline consideration and estimated net cash proceeds are different measures.
Embracer said the sale would reduce net debt, earnout obligations and capital expenditure, and described it as a way to lower business risk, improve profitability and focus the group. Its sale announcement included illustrative 2023 figures for the divested assets: net sales of SEK 1,680 million, adjusted EBIT of negative SEK 30 million, EBITDAC of negative SEK 809 million and capex of SEK 941 million. Embracer cautioned that these figures predated possible effects of its restructuring program after December 31, 2023. They describe the assets being divested, not Gearbox alone in every historical context.

Pitchford described his priority as the people and customers at Gearbox: “My primary interest is always Gearbox, especially our talent and our customers.” Take-Two said the acquisition would deepen its relationship with Gearbox, integrate operations and give it full ownership of named franchises and Gearbox’s pipeline. It said Gearbox would operate as a studio within 2K, led by Pitchford and his management team. Pitchford said joining Take-Two and 2K would help Gearbox “ascend to our next level.” These are the parties’ stated intentions, not independent assessments of the outcome.

The 2024 transaction did not transfer every business or right that had been associated with Gearbox. The distinction matters when comparing the acquisition and divestment.

The transaction closed in June 2024. Take-Two’s completion announcement confirms the closing; Embracer’s sale announcement details the transaction perimeter and retained assets.
Why the 2021 deal and 2024 sale are not a simple price comparison
The two transactions differed in timing, conditions, payment and scope. In 2021, Embracer bought Gearbox as a wholly owned subsidiary with cash, newly issued Embracer shares and a potential six-year earnout. In 2024, Take-Two agreed to acquire a specified set of Gearbox businesses and franchises, with consideration in Take-Two shares and a different set of assets retained by Embracer.
The 2021 maximum was contingent on future targets; the 2024 $460 million headline figure was tied to a later sale, with estimated net cash proceeds calculated separately. Neither figure alone supplies a like-for-like measure of the value of the same assets at two points in time. The announcements document Embracer’s original growth-and-decentralization rationale and its later focus on debt, risk, profitability and capital expenditure. They do not establish a hidden mechanism behind the merger, nor independently show whether the original strategy achieved its intended benefits.
