Ubisoft’s deal with Tencent closed on November 21, 2025: Tencent invested €1.16 billion in Vantage Studios, the Ubisoft subsidiary built around Assassin’s Creed, Far Cry, and Tom Clancy’s Rainbow Six. Ubisoft reported Tencent’s final economic interest as 26.32%, while saying it retained exclusive control of Vantage. The transaction was announced initially as an approximately 25% stake at an approximately €4 billion pre-money enterprise value; the closing announcement gave a €3.8 billion pre-money enterprise value.
What the deal covers
Vantage Studios brings together development teams and franchise-related operations for Assassin’s Creed, Far Cry, and Tom Clancy’s Rainbow Six. Ubisoft’s March 2025 announcement described teams in Montréal, Quebec, Sherbrooke, Saguenay, Barcelona, and Sofia, along with the franchises’ back catalogs and games in development or to be developed.
The arrangement is a carve-out of development activity and related rights, not an outright sale of the underlying franchises. Vantage received a worldwide, exclusive, irrevocable, perpetual license to relevant Ubisoft intellectual property in exchange for a royalty. Ubisoft described the subsidiary at its October launch as a “creative house” responsible for developing and expanding the three brands. At launch, Charlie Guillemot and Christophe Derennes were named co-CEOs.

The frequently repeated “$4 billion” framing is not the final reported valuation or a dollar-denominated figure: Ubisoft’s disclosures state euro amounts. Both valuation figures are pre-money enterprise values, not post-money equity valuations. The March figures were proposal-stage terms; the November figures describe the completed transaction.

How much does Tencent own, and who controls Vantage?
Ubisoft’s closing release reported Tencent’s 26.32% economic interest. Its shareholder-agreement disclosure states that Tencent subscribed for new ordinary shares representing 26.32% of Vantage’s share capital and voting rights, while Ubisoft held 73.68%. Ubisoft said Vantage remained exclusively controlled and consolidated by Ubisoft. Tencent therefore became a minority shareholder in the subsidiary, not the owner of Ubisoft or controller of the three franchises.
Tencent did receive contractual protections. Ubisoft’s closing announcement reports customary minority-protection veto rights and certain consent rights over disposals of important Vantage assets. The shareholder-agreement disclosure describes additional transfer and change-of-control provisions:

- Tencent’s Vantage securities are subject to a five-year lock-up, unless Ubisoft ceases to own a majority of Vantage’s voting rights and share capital. Ubisoft agreed not to cease holding a majority for two years.
- If Ubisoft intends to transfer Vantage shares, Tencent has a right of first offer. After the lock-up, if Tencent seeks to transfer shares, Ubisoft has a right of first refusal.
- Tencent has tag-along rights in specified circumstances. Ubisoft has drag-along rights subject to conditions, including an offer for at least 80% of Vantage securities.
- The agreement also describes conditional call and put options connected to a board-approved change of control of Ubisoft.
These terms give Tencent defined protections and transfer rights; they do not change Ubisoft’s disclosed position that it retained exclusive control and consolidation of Vantage.
Why Ubisoft said it made the deal
Ubisoft said it planned to use the proceeds to reduce consolidated net debt, support selected investments across the group, and provide financial flexibility for its strategic transformation. It also presented Vantage as a way to focus investment and creative capacity on the three franchises. Those are Ubisoft’s stated objectives; the deal disclosures do not establish what financial or creative results followed.

What Ubisoft and Tencent said
Announcing the completed investment on November 21, 2025, Ubisoft CEO Yves Guillemot said: “I am very pleased to announce the closing of our strategic partnership with Tencent, which now becomes a minority shareholder in our new subsidiary, Vantage Studios.” Tencent President Martin Lau said: “Tencent is delighted to be building on our strong relationship with Ubisoft through this investment in the launch of Vantage Studios.”
When Ubisoft first announced the agreement in March, Guillemot described it as a new chapter in the company’s history. The closing announcement confirmed that the planned investment had been completed.
