EA’s buyout closed on August 4, 2026, making it a privately held company owned through a consortium led by Saudi Arabia’s Public Investment Fund (PIF), alongside Silver Lake and Affinity Partners. The change alters EA’s ownership and financing—not, by itself, its games, staffing, budgets or creative control. Whether EA becomes “a very different company” will depend on decisions made after the deal, not the closing announcement alone.
Who owns EA now, and when did it go private?
Electronic Arts said its acquisition by PIF, Silver Lake and Affinity Partners closed on August 4, 2026, following shareholder approval at a special meeting on December 22, 2025. EA common stock ceased trading and is to be delisted from NASDAQ, so EA is no longer a publicly traded company. EA’s closing announcement confirms the date and transaction status.

The European Commission described the transaction as an acquisition of sole control of EA by PIF, through an acquisition vehicle ultimately controlled by the fund. PIF-controlled Savvy Games Group also owns Scopely and ESL FACEIT Group, among other interests. That establishes a broader gaming portfolio around PIF, but it does not show how EA’s individual creative or business decisions will be made. The European Commission’s decision identifies EA as a developer, marketer and publisher of console, PC and mobile games, including Apex Legends, Battlefield, EA SPORTS FC, Madden NFL and The Sims.
What shareholders received, and how the deal was financed
EA said shareholders were to receive $210 in cash for each share held at closing. The transaction was announced at an enterprise value of approximately $55 billion. EA’s announcement described approximately $36 billion in equity investment and $20 billion in committed debt financing, of which $18 billion was expected to be funded at closing. These are the announced deal figures; they do not establish EA’s current debt balance or how debt will affect operating decisions. For scale, EA reported approximately $7.5 billion in GAAP net revenue for fiscal year 2026. That is a company-reported historical figure, not a forecast of future revenue or an indication of how easily the company can service its debt. EA’s fiscal 2026 results provide the figure.
Why private ownership and debt could change EA’s incentives
Less pressure to answer to public markets
As a private company, EA will no longer have publicly traded shares or the same public-market reporting and shareholder pressures associated with being listed. AP reported one possible interpretation: private ownership could give EA more room to make long-term investments without reacting as directly to public-market expectations. That is a potential advantage, not proof that the owners will choose a longer-term strategy or increase spending. AP’s report on the buyout describes this as one possible effect.

Debt may create pressure to control costs
The announced debt financing also gives investors and employees a reason to watch cost decisions. AP reported that the debt could create pressure for layoffs or other cost reductions. But financing terms alone do not establish that layoffs are planned, that cuts have happened, or that any particular team or project will be affected. EA’s announced $20 billion commitment should not be confused with a confirmed current debt balance.
Private status does not guarantee creative freedom
Private ownership changes who owns EA; it does not automatically give game teams more autonomy. Owners and management still decide how capital, staffing and priorities are allocated. PIF’s wider gaming interests offer context, but portfolio overlap by itself does not establish that EA will be merged with another company, directed to change a franchise, or managed in a particular way.

What EA and the new owners have promised
In the closing announcement, EA Chairman and CEO Andrew Wilson said: “Together, we’ll invest boldly, accelerate innovation, and build the next generation of games and experiences for the hundreds of millions of players and fans who inspire us every day.” PIF Deputy Governor and Head of International Investments Turqi Alnowaiser said entertainment and sports were key strategic areas for the fund. Silver Lake CEO and Managing Partner Egon Durban said the investors were “proud to join with PIF and Affinity Partners to invest heavily in EA’s growth,” including exploring how AI could enhance game development and player experience. These statements appear in EA’s closing release.
Those are statements of intent, not evidence that additional investment has occurred, that AI is already changing EA’s production process, or that players will see a specific result. EA’s closing release also says forward-looking statements are based on assumptions and are not guarantees of future performance.

Will EA change its games, jobs, budgets or use of AI?
The closing of the acquisition does not answer those questions. EA’s named franchises—from EA SPORTS FC and Madden NFL to Apex Legends, Battlefield and The Sims—make the stakes concrete for players, but no post-close change to a game, release schedule, budget, workforce or creative-control arrangement is established by the deal facts or public promises cited here.

How to tell whether EA is actually becoming different
A meaningful before-and-after assessment needs comparable evidence from after the August 4, 2026 closing. Watch for changes across several areas rather than treating ownership or a single announcement as a verdict:
- Investment and operating priorities: Look for concrete spending or strategy decisions, not only broad promises to invest.
- Staffing and costs: Distinguish announced workforce changes from speculation about what debt might encourage.
- Games and release strategy: Compare release cadence, franchise plans and the games players receive over time; a single title or delay may not establish a company-wide shift.
- AI: Separate stated interest in AI from specific, disclosed uses in production or player-facing features.
- EA’s independence: Look for evidence of how decisions are made within PIF’s wider gaming portfolio; common ownership alone is not enough.
- Financial performance and debt: Assess later company disclosures rather than assuming the announced financing structure dictates a particular outcome.
Until comparable post-close evidence emerges, “a very different company” remains a thesis about what private ownership might enable—or constrain—not a demonstrated description of EA’s games or working conditions.
