Why THQ Named Jason Rubin President in 2012

THQ appointed Naughty Dog co-founder Jason Rubin president during its 2012 restructuring, while Brian Farrell remained CEO. Rubin’s employment ended in January 2013 as THQ entered a bankruptcy-related asset-sale process.

THQ appointed Jason Rubin president effective May 25, 2012, as the struggling publisher restructured its studios, projects and costs. Rubin brought experience as a Naughty Dog co-founder and studio leader, while Brian Farrell remained CEO with his existing title and responsibilities. The appointment was not a change of CEO, and the later bankruptcy-related sale process does not establish that Rubin’s arrival caused THQ’s financial outcome.

Why did THQ name Jason Rubin president?

The board brought Rubin in during a broad effort to reshape the company. THQ’s fiscal 2012 Form 10-K describes reductions in internal development studios, the discontinuation of projects that did not fit its strategic objectives, changes to markets and product lines, and cuts to costs and headcount. The filing records Rubin’s appointment as part of that period of restructuring. THQ’s June 2012 Form 8-K and its fiscal 2012 Form 10-K document the appointment and the company’s operating changes.

THQ’s August 2012 release framed Rubin’s experience as an asset. CEO Brian Farrell said the company had made “significant progress reshaping the company” and called Rubin’s track record strong. Those were Farrell’s characterizations; the release did not provide a specific sales figure to support its reference to multi-million-unit sellers. The August 2012 release describes the company’s view at the time, not an independent assessment of Rubin’s impact.

Who was Jason Rubin before THQ?

THQ’s 2012 SEC filing described Rubin, then 42, as having 20 years of video-game-industry experience. According to that filing, he co-founded Naughty Dog in 1985, served as its co-president and led its team until 2004. Sony Computer Entertainment America acquired the studio in 2001. THQ also said Rubin later co-founded Flektor and Monkey Gods and held leadership roles at both. These biographical details and the 20-year description come from THQ’s filing, rather than an independently audited measure of experience. THQ’s appointment filing gives its account of his career.

What was Rubin expected to do, and who remained CEO?

Rubin became president; Farrell remained THQ’s CEO. The Form 8-K explicitly states that Farrell retained his CEO title, position and responsibilities after the appointment. So the announcement did not make Rubin chief executive.

In a July 2012 Game Informer interview, Rubin described his remit as overseeing publishing, marketing and production. He said Farrell had asked him to assess THQ’s teams and properties and that he visited each team. Rubin praised the teams’ potential and said he wanted to help unlock it; those are his stated impressions and ambitions, not independent findings about the company’s prospects.

When did Rubin become president, and when did Danny Bilson leave?

The dates refer to separate events: the board’s appointment of Rubin took effect May 25, 2012, while Bilson’s employment ended effective June 1, 2012. THQ filed the Form 8-K on June 1, but the filing date does not change the appointment’s effective date. The filing states both dates.

What happened to THQ after Rubin joined?

In December 2012, THQ announced an asset purchase agreement with Clearlake Capital affiliates, who were stalking-horse bidders in a bankruptcy sale process. Rubin’s remarks in the announcement described hopes for a new start and continued game development; they were plans expressed at that point, not proof the proposed strategy succeeded. THQ’s December announcement records the proposal and the company’s stated intentions.

A February 2013 SEC filing says Farrell, Rubin and Jason Kay were terminated without cause effective January 30, 2013. That documents the end of Rubin’s THQ employment, but it does not by itself establish that his appointment caused the company’s later financial outcome. The February 2013 filing gives the effective termination date.

The Los Angeles Times reported the appointment on May 29, 2012, describing Rubin as a veteran game designer and former studio executive. Its contemporaneous report provides announcement-era context.
