EA’s $55 Billion Take-Private Acquisition Closed in August 2026

EA’s approximately $55 billion take-private acquisition closed August 4, 2026. The buyer consortium paid eligible shareholders $210 per share, and EA stock ceased trading.

Electronic Arts is no longer a publicly traded company: EA announced that its $55 billion acquisition closed on August 4, 2026, and that its common stock ceased trading and would be delisted from Nasdaq. The buyer consortium was the Public Investment Fund, Silver Lake, and Affinity Partners. Eligible common shareholders received $210 in cash per share at closing.

Who bought Electronic Arts?

The acquiring consortium comprised Saudi Arabia’s Public Investment Fund (PIF), private-equity firm Silver Lake, and Affinity Partners. In its September 29, 2025 announcement, EA said the transaction had an approximate $55 billion enterprise value. PIF agreed to roll over its existing 9.9% stake in EA rather than cashing it out as part of the deal terms. EA’s announcement did not establish the consortium members’ final ownership percentages after closing.

What do the $55 billion and $210 figures mean?

They describe different parts of the transaction. EA’s approximately $55 billion figure was the deal’s enterprise value, while $210 was the cash consideration for each eligible common share. They should not be treated as interchangeable measures.

EA described the acquisition at announcement as “the largest all-cash sponsor take-private investment in history.” That was EA’s characterization, not an independently verified ranking. The SEC-filed transaction materials describe the merger structure: the merger subsidiary would merge into EA, with EA surviving as a wholly owned subsidiary of the acquisition parent.

When was the deal announced, approved, and closed?

  1. September 29, 2025 — announcement: EA announced its definitive acquisition agreement with the consortium. The merger agreement was dated September 28, 2025.
  2. December 22, 2025 — shareholder approval: EA said stockholders approved the transaction at a special meeting.
  3. August 4, 2026 — closing: EA announced that the acquisition had successfully closed. EA’s stockholder-approval release and closing announcement document the later milestones.

Can you still trade EA stock?

No. At closing, EA said eligible stockholders would receive $210 in cash for each common share held at closing. The company also said EA common stock had ceased trading and would be delisted from Nasdaq. EA should therefore not be described as a currently publicly traded stock based on its former ticker. EA’s closing release states the payment and trading status.

What does the acquisition mean for EA games?

The change in ownership does not, by itself, establish what will happen to particular games, studios, release schedules, prices, or platforms. At closing, EA Chairman and CEO Andrew Wilson said: “Together, we’ll invest boldly, accelerate innovation, and build the next generation of games and experiences for the hundreds of millions of players and fans who inspire us every day.” That is the company’s stated ambition, not evidence that specific changes or results have occurred.
