Once at least two qualifying NPCs are present, he has about a 22.12% chance to spawn on each eligible in-game day, with arrival possible from 4:30 AM until noon. The chance is random, so several eligible days may pass without a visit.
How the spawn timing works
The game rolls for the Traveling Merchant during the morning window, from 4:30 AM to 12:00 PM. The official Terraria Wiki describes a 1-in-108,000 chance per tick across 27,000 ticks in that window, which produces an approximately 22.12% chance of a visit on an eligible day. If he has not arrived by noon, that day’s spawn window is over. There is no way to turn the chance into a predictable countdown; the next opportunity comes during another eligible morning.
What makes a day eligible?
Have at least two qualifying NPCs present
At least two other qualifying NPCs must be present in the world. The Guide counts. The Old Man and Skeleton Merchant do not count toward the requirement, and the Traveling Merchant does not need a house of his own. See the official NPC reference for NPC details.

Make sure nothing is blocking the spawn
The Traveling Merchant cannot spawn during a Solar Eclipse, Goblin Army, Frost Legion, Pirate Invasion, or Martian Madness. An active Enchanted Sundial or Moondial also prevents his arrival. Can sleeping make him arrive faster?
Sleeping speeds up in-game time, so the chance per real-life second increases while you sleep. It can reduce real-world waiting, but it does not guarantee the Merchant will spawn. Keep the NPC requirement and blocking conditions in mind; speeding through time does not make an ineligible day eligible.

When does the Traveling Merchant leave?
After arriving, he normally leaves at 6:00 PM if he is off-screen. He also despawns if you exit the world. If you want to browse his stock, find him before evening and avoid leaving the world while he is present. Official Terraria Wiki: Traveling Merchant
