Sony Interactive Entertainment completed its acquisition of Bungie on July 15, 2022. Sony announced the deal at $3.6 billion in January; its closing announcement put total consideration at approximately $3.7 billion after customary adjustments. The figures use different stages of the transaction, rather than representing a reversal of the original price.
When did Sony’s acquisition of Bungie close?
Sony Interactive Entertainment (SIE), a wholly owned subsidiary of Sony Group, completed its purchase of 100% of Bungie’s shares on July 15, 2022, according to Sony’s closing announcement. Bungie became a wholly owned Sony subsidiary.
Why did the price change from $3.6 billion to about $3.7 billion?
The $3.6 billion figure was the consideration Sony announced on January 31, 2022, when it said it had reached definitive agreements to acquire Bungie. That announced total included the purchase price and committed employee incentives, and was subject to customary working-capital and other adjustments as well as closing conditions, as described in SIE’s announcement.
At closing, Sony reported approximately $3.7 billion in total consideration, inclusive of purchase price and committed employee incentives, after customary adjustments. The difference reflects the transaction’s adjustment between announcement and completion; the announcement itself had already said the amount could be adjusted.

What do Sony’s later accounting figures mean?
Sony’s later acquisition accounting disclosure reported total consideration of $3.704 billion. It allocated $2.525 billion to purchase consideration and $1.179 billion mainly to deferred payments to employee shareholders conditioned on continued employment, along with other retention incentives. The $1.179 billion is an accounting allocation, not a statement that a single cash bonus pool was paid at closing.
The same filing gave a separate figure of $2.424 billion for the fair value of purchase consideration as of the acquisition date. That measure is not interchangeable with the $3.704 billion total consideration: the filing reports them as distinct accounting categories. Sony’s fiscal 2022 financial results

How was Bungie expected to operate under Sony?
When announcing the agreement in January 2022, Sony said Bungie would operate independently as an SIE subsidiary, retain the ability to self-publish, and reach players wherever they chose to play. That describes the operating model Sony announced at the time; it should not be read as a guarantee that organizational arrangements would never change.

On June 25, 2026, SIE CEO Hermen Hulst announced workforce reductions affecting Bungie, including most of the Destiny team and some Marathon team members. Hulst also said Destiny 2 had released its final live-service content update, described Marathon as an important project in Sony’s portfolio, and said Sony would continue supporting the team. These are later statements about Bungie and its games, not changes to the acquisition’s original terms. Hulst’s June 25, 2026 statement
