Spot Bitcoin ETFs (more precisely, exchange-traded products) hold bitcoin in a trust while investors trade shares on a stock exchange. When demand for those shares falls, the market price can drop, authorized participants may redeem creation baskets, and a cash redemption can lead to bitcoin sales. That process can add selling pressure, but it does not mechanically determine bitcoin’s global price or guarantee a crash.
The important distinction is between three markets: the exchange where ordinary investors trade shares, the primary-market process where authorized participants create or redeem large baskets, and the worldwide bitcoin market where the trust’s assets are bought and sold.

What a spot Bitcoin ETF actually is
A spot Bitcoin ETF is designed to give shareholders price exposure to bitcoin without requiring them to hold bitcoin’s private keys. The product generally uses a trust or another commodity-based structure that owns bitcoin with a custodian. A shareholder owns shares in that vehicle, not a particular wallet balance and not the custodian’s private keys.

What shareholders own
- A security representing an interest in the trust or exchange-traded product.
- Exposure to the value of the bitcoin held by the trust, less fees, expenses and other liabilities.
- The ability to trade shares through a brokerage account during the stock exchange’s trading hours.
Owning shares does not normally let a retail investor withdraw bitcoin, choose a wallet, or demand delivery of a particular coin. The product’s documents determine the rights attached to the shares.
What the trust holds
The core asset is bitcoin held through a custodian. Trusts may also hold cash temporarily for expenses, creations, redemptions or operational needs. Fees and expenses gradually reduce the amount of bitcoin attributable to each share, even if the bitcoin price is unchanged. Do not assume that one share always corresponds to a fixed quantity of bitcoin.
How the two markets connect
Ordinary investors usually trade existing shares with one another on a securities exchange. The trust creates or redeems shares only in large baskets through authorized participants (APs). An AP is an eligible institution that has signed the required agreement and is permitted to transact directly with the trust.

Because bitcoin trades continuously while U.S. exchanges operate on set schedules, the share price and the trust’s calculated net asset value (NAV) can be based on markets that are moving at different times. Valuation sources, liquidity and execution timing can add further differences.

How creations and redemptions work
Creation and redemption orders are not the same as a retail buy or sell order. The basket size, cut-off times, fees, custody arrangements and settlement steps are issuer-specific. One issuer’s filing should not be treated as the rule for every product.
Cash creation
- An AP submits a creation-basket order under the trust’s agreement.
- The AP delivers the required cash.
- The trust’s execution agent uses that cash to acquire bitcoin for the trust.
- Once the required assets and checks are complete, the trust issues new shares to the AP.
- The AP can sell those shares on the exchange or use them to meet customer demand.
In-kind creation
- The AP places a creation order.
- The AP transfers the required bitcoin to the custodian.
- The custodian confirms receipt and the trust completes its operational checks.
- The trust issues the corresponding basket of shares to the AP.
Cash redemption
- The AP returns a redemption basket of shares.
- The trust or its execution agent identifies and sells the corresponding bitcoin.
- The sale proceeds are delivered as cash to the AP, net of applicable costs.
- The redeemed shares are cancelled, reducing shares outstanding.
In-kind redemption
- The AP returns the required basket of shares.
- The trust transfers the corresponding bitcoin to the AP’s designated custody arrangement.
- The redeemed shares are cancelled and the trust’s bitcoin holdings decline by the amount delivered.
Retail investors normally cannot submit one of these basket orders directly. They sell shares on the exchange; an AP and the trust handle any primary-market activity needed to balance supply.
Why a share can trade above or below NAV
NAV is the per-share value calculated from the trust’s assets and liabilities at the valuation time set by its documents. The exchange price is whatever buyers and sellers agree to during trading. Those figures are related, but they are not guaranteed to match every second.
When shares trade above NAV, an AP may have an incentive to create shares and sell them into the higher-priced market. When shares trade below NAV, an AP may have an incentive to buy shares, redeem a basket and receive assets worth more than the purchase price. This arbitrage is intended to narrow the gap.

Arbitrage can be impaired by several conditions:
- Volatility that makes prices change before a hedge or settlement is completed.
- Limited participation by APs or interruptions in their ability to transact.
- Thin liquidity, wide spreads or unusually large orders.
- Different trading hours for bitcoin venues and the stock exchange.
- Delays, custody constraints or other operational problems.
- Differences between the trust’s valuation methodology and executable market prices.
As a result, a premium or discount can persist. Arbitrage creates an economic incentive, not a promise that the share price will equal NAV.
What happens when demand for Bitcoin ETF shares falls?
A fall in demand can appear first as weaker buying or a lower exchange price. If the share price moves below the value represented by the shares, APs may decide to redeem baskets, provided the product’s procedures permit it and the AP is willing and able to transact.
Effect on the fund’s size
Net redemptions reduce both the trust’s assets and the number of shares outstanding. The fund becomes smaller. A secondary-market sale by one investor does not automatically remove bitcoin from the trust; a redemption is the primary-market event that changes the trust’s holdings.

For a cash redemption, the trust or its agent sells bitcoin to raise the cash paid to the AP. That sale can add supply to bitcoin markets and may put downward pressure on prices, especially if liquidity is poor or several large orders arrive together.

Effect of an in-kind redemption on bitcoin
For an in-kind redemption, bitcoin is transferred out of the trust to the AP instead of being sold by the trust to raise cash. The AP may keep, hedge or sell that bitcoin, so the market effect depends on what happens after delivery. The immediate trust transaction is a transfer rather than a required open-market sale.
Why an outflow does not guarantee a bitcoin crash
Bitcoin trades across a broad global market. ETF-related selling is only one source of supply, and other investors may buy the coins being sold. The size and timing of any price effect depend on market depth, concurrent orders, derivatives activity, macroeconomic news and many other forces. An ETF outflow is therefore a possible transmission channel, not a one-for-one forecast of bitcoin’s next price move.
Three separate measurements to watch
- Shares outstanding: whether creations exceed redemptions or vice versa.
- Trust assets: the value and quantity of bitcoin and cash held by the product.
- Share price versus NAV: whether exchange trading is at a premium or discount.
These can move differently. A share-price decline caused by broad bitcoin weakness is not the same event as a redemption-driven reduction in the trust’s bitcoin balance, and neither automatically tells you how large the premium or discount will be.

On July 29, 2025, the U.S. Securities and Exchange Commission announced approval of orders permitting in-kind creations and redemptions for crypto exchange-traded products, including previously approved bitcoin products. Earlier descriptions often treated those products as limited to cash creations and redemptions. That description is no longer universally current.

SEC Trading and Markets Director Jamie Selway said: “In-kind creation and redemption provide flexibility and cost savings to ETP issuers, authorized participants, and investors, resulting in a more efficient market.” The change permits in-kind processing, but it does not mean every product uses it in the same way or on the same timetable. Check the latest prospectus, statement of additional information and operational notices for the specific trust.
What to check before comparing two products
A low sponsor fee is only one part of the decision. If you are evaluating named funds, use current issuer documents and compare:
- Sponsor fee, expense structure and any temporary fee waiver.
- Assets, shares outstanding and bitcoin attributable to each share.
- Custodian and the documented custody arrangements.
- Whether creations and redemptions are cash, in kind or available through both methods.
- Basket procedures, order deadlines, settlement and participant requirements.
- Trading volume, bid-ask spreads and observed premiums or discounts to NAV.
- Benchmark, valuation time and tracking difference.
These details can change. A product’s current filing, rather than an older launch announcement or a generic description of “Bitcoin ETFs,” is the appropriate source for its actual process.

Common mistakes to avoid
- “I own the bitcoin.” You own shares in a vehicle that owns bitcoin; you generally do not control the private keys.
- “Every retail sale removes bitcoin from the fund.” A secondary-market trade changes share ownership. The trust’s holdings change when a creation or redemption occurs.
- “Outflows equal the same dollar amount of bitcoin selling.” Cash and in-kind redemptions work differently, and the relationship between flows and sales is not one-for-one.
- “Arbitrage eliminates all premiums and discounts.” It normally encourages convergence, but liquidity, hours, volatility and operational limits can interrupt it.
- “All products have identical protections and mechanics.” Legal form, custody, fees, basket rules and processing methods vary by issuer.
- “A historical flow number is a current fact.” Flow statistics need a defined period, original publisher and publication date before they can support a current claim.
Bottom line
A spot Bitcoin ETF connects exchange-traded shares to a custody-held bitcoin reserve through authorized-participant creations and redemptions. Falling share demand can shrink the trust and, in a cash-redemption process, lead to bitcoin sales that add selling pressure. The size of any market impact is uncertain, while premiums and discounts can persist whenever arbitrage or liquidity is impaired. Since in-kind processing was permitted for crypto ETPs in July 2025, the only reliable way to know how a particular product operates is to read its current documents.
