Can Bankruptcy Take an Esports Team’s Slot or Tournament License?

Short answer: A U.S. bankruptcy filing does not automatically cancel an esports organization’s league place or tournament permission, and it does not give a buyer rights the debtor never owned. The result depends on what the debtor held on the petition date, whether the right is an owned asset or an executory contract, the contract’s termination and assignment language, and the publisher’s separate authority over its game and competitions. A court can approve assumption, rejection, or sale of the debtor’s interest, but a publisher’s personal, revocable, nontransferable event license is not the same thing as a franchise slot.

This guide separates the organization, a professional team or league participation agreement, and a community-event license under U.S. federal bankruptcy law. It uses Riot Games’ published League of Legends community policy as an example only; a particular team’s agreement and court docket control that team’s outcome.

What exactly is in an esports bankruptcy estate?

The estate is the debtor’s property interest, not the entire game ecosystem. Section 541 of the Bankruptcy Code brings the debtor’s legal and equitable interests existing at the filing date into the estate. That can include owned team marks, event brands, equipment, receivables, footage rights, and a live contractual participation interest, subject to the contract and applicable law. It does not transfer the publisher’s copyright, servers, game code, league brand, or independent power to authorize competition. Read the statute at 11 U.S.C. § 541.

The debtor’s identity matters. A holding company, operating team company, event subsidiary, and brand owner may be different legal persons. A filing by one does not automatically place another company’s slot, marks, or agreement in the estate. Counsel must trace the signatory, owner, guarantor, and beneficiary for each right.

Why the petition date matters

Rights that were still live when the petition was filed may become estate property and may receive the automatic stay’s protection. Section 362 generally pauses specified collection and control actions against the debtor or estate property, but the stay has exceptions and does not answer whether a pre-filing termination was already effective. If a publisher sent a termination notice before filing, the timing, contract language, governing law, and facts determine whether anything remained for the estate.

A claim that a contract ended before the petition is different from a post-filing attempt to terminate or seize estate property. The American Bar Association’s franchise-bankruptcy discussion describes courts reaching different results depending on those facts; a case-specific prediction requires the controlling venue’s authority and the actual docket.

Is a league slot the same as a tournament license?

No. A professional league slot is generally a negotiated participation arrangement, while a community tournament license is permission to organize specified events. The grantor, holder, duration, conditions, and transfer rules can all differ.

Question Organization and estate Team or league participation agreement Community tournament license
Who grants or holds it? Identify the debtor and the property interest it owned at filing under § 541. Identify the league or publisher counterparty and the exact team entity named in the agreement. Riot publishes a grant for qualifying independent organizers; professional teams use separate agreements.
Possible bankruptcy treatment Owned interests may be sold under § 363, subject to court approval and other requirements. Determine whether the agreement is executory, assumable, and assignable; cure and adequate assurance may be required. The published grant is personal, nontransferable, and revocable, so its written conditions matter.
What filing does not do It does not enlarge the debtor’s rights. It does not create an automatic right for a new owner to compete. It does not turn community-event permission into an official professional slot.

Riot’s August 2026 community-competition guidelines say that, in most cases, organizers will no longer need to wait for Riot approval to run an event. That statement operates within the policy’s conditions: sponsor categories, official branding, broadcasts, fees, eligibility, and Riot’s reserved intervention rights still apply. The policy expressly distinguishes certain professional organizers and does not disclose any team’s private league contract.

What does the automatic stay do to a publisher’s action?

The stay can restrain specified acts against the debtor, estate property, or property of the estate, but it is not a universal injunction against every contractual decision. Whether a publisher may enforce a termination, withhold a service, or act under an independent compliance provision depends on the statutory section invoked, the timing, and the contract.

  • Pre-filing termination: If effective before the petition, there may be no live contract interest for the estate to protect.
  • Post-filing termination: An attempt to control estate property or collect a prepetition claim may implicate § 362, while an independent, postpetition contractual condition may require different analysis.
  • Bankruptcy-triggered clauses: Insolvency or filing clauses can be limited by § 365(e), but that does not eliminate every nonbankruptcy termination right.
  • Publisher intervention: A policy-based response to an event’s conduct is not automatically the same as a bankruptcy-triggered cancellation.

Do not reduce the issue to “the filing cancels the license” or “the stay protects it forever.” The court must examine the agreement, notice, effective dates, statutory exceptions, and any requested relief from stay.

Can the debtor assume or reject a participation agreement?

Section 365 gives a debtor mechanisms to assume or reject an executory contract, generally with court approval. Assumption requires curing defaults or providing a prompt cure and giving adequate assurance of future performance. The debtor must show it can meet payment, conduct, staffing, reporting, insurance, production, and other continuing obligations specified by the agreement. See 11 U.S.C. § 365.

Rejection is a breach, not a cancellation order

Rejection permits the debtor to stop performing and gives the counterparty a bankruptcy claim for damages. It does not, by itself, rescind the contract or erase every right that would survive an ordinary breach. In Mission Product Holdings v. Tempnology, the Supreme Court stated: “A rejection breaches a contract but does not rescind it.” Read the opinion at supremecourt.gov.

Tempnology involved a debtor licensor and a nondebtor trademark licensee. It does not hold that a debtor licensee may keep an otherwise revocable tournament permission, assume a publisher’s game license without satisfying § 365, or assign a nontransferable slot to a buyer. The case explains the effect of rejection; it does not decide the separate questions of assumption, assignment, revocation, or league eligibility.

Assumption and assignment are separate inquiries

A debtor may be able to assume a contract without transferring it, or seek to assign it as part of a sale. Section 365’s anti-assignment rules have exceptions where applicable nonbankruptcy law excuses the counterparty from accepting an assignee. Courts differ in how they apply § 365(c), as the ABA’s 2025 franchise-bankruptcy guide explains. The governing circuit, contract language, and the publisher’s legal ability to refuse performance are decisive.

For a league agreement, the buyer may need to prove cure of monetary and nonmonetary defaults, adequate assurance of future performance, compliance with ownership and control rules, and acceptance by the league or publisher where legally required. A sale price or court order cannot manufacture consent that nonbankruptcy law validly withholds.

Can a bankruptcy buyer purchase the slot?

A buyer can purchase the debtor’s interest only to the extent that interest is transferable. Section 363 may authorize a sale of estate assets, but a sale order does not automatically assign every permission associated with the business. The transaction documents and court order should identify each asset and contract separately.

Use an asset-by-asset schedule

  • Team name, logo, and marks: Confirm which entity owns them and whether registrations, licenses, or sponsor obligations limit use.
  • League participation: Determine whether the right is a slot, membership, season-by-season invitation, or a personal contract with renewal discretion.
  • Event brand: Establish ownership separately from permission to stage a game publisher’s event.
  • Broadcast and footage: Check who owns recordings, archival materials, music, talent releases, and platform rights; existing footage may be subject to negotiated use limits.
  • Equipment and receivables: These are ordinary assets only if the debtor owns them and liens or licenses do not restrict transfer.
  • Game and official league rights: Treat these as publisher- or league-controlled unless the agreement expressly grants a transferable interest.

The practical diligence list is: debtor identity; game and region; grantor; license versus owned asset; remaining term and renewal; live status on the petition date; bankruptcy-triggered and independent termination grounds; cure; future performance; assignment consent; governing law; court orders; and rights in marks, footage, sponsors, and team brands.

Does Riot’s community license transfer in bankruptcy?

Riot’s published community license should be read as written: it is conditional, personal, nonexclusive, nonsublicensable, nontransferable, limited, and revocable. Those attributes make it materially different from an owned event asset or a negotiated professional franchise arrangement. A purchaser cannot assume that buying an organizer’s equipment, website, or event brand carries the permission with it.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The policy also illustrates why “permission to run an event” is not ownership of the game. Riot retains control over sponsor categories, official esports branding, certain broadcasts, and intervention. Organizers may be allowed to charge specified fees and stream on an online platform of their choice while still remaining subject to those restrictions. A filing does not remove the conditions, and compliance with the conditions does not create a franchise slot.

What happens when the publisher has an independent termination right?

Bankruptcy-only termination and a permission conditioned on independent compliance are different legal questions. A clause triggered solely by insolvency may face statutory limits; a failure to satisfy event, branding, sponsor, conduct, or eligibility conditions may provide a separate contractual basis. Whether exercising that power against a debtor violates the stay or another bankruptcy rule depends on timing and facts.

For a professional participation agreement, inspect notice provisions, cure periods, season deadlines, morality or conduct clauses, ownership-change restrictions, exclusivity, insurance, and league discretion. For a community license, inspect the policy’s eligibility, event-format, sponsor, branding, broadcast, and revocation provisions. A court may need to decide whether the asserted ground is genuinely independent or merely a bankruptcy termination in disguise.

What do the 100 Thieves and FTX examples actually show?

100 Thieves: a structural example, not a bankruptcy case

In a July 18, 2025 account, Riot said 100 Thieves made a business decision in late 2024 to sell its franchise slot back to Riot. Riot then offered a one-year provisional guest arrangement for the 2025 LTA season, without a long-term guarantee, while it sought a long-term North American partner for the 2026 slot. The announcement is at lolesports.com.

This example shows that a franchise slot and a later guest invitation can be different agreements. It does not say that a court canceled a slot, that 100 Thieves filed bankruptcy, or that another team’s contract will receive the same treatment. The one-year term is a term of that arrangement, not an industry statistic.

FTX and Riot: a bankruptcy order about sponsorship and marks

On January 11, 2023, a Delaware bankruptcy court approved a stipulation rejecting a Riot–FTX strategic sponsorship agreement effective December 30, 2022. The stipulation ended specified mutual permissions to use sponsor and Riot marks, while allowing certain already-created footage and materials containing embedded marks to remain usable without implying current affiliation. The order is available at this PDF.

That was a sponsorship transaction, not a team slot or tournament license. Its treatment of marks was a court-approved compromise between those parties; it is not proof that rejection automatically extinguishes every trademark permission in every case.

How should teams, organizers, and buyers analyze a live case?

  1. Map the entities. List the debtor, parent, operating company, team company, brand owner, guarantors, league counterparty, and publisher.
  2. Freeze the timeline. Record contract dates, notices, alleged breaches, termination effective dates, petition date, season dates, and any stay or sale orders.
  3. Classify each right. Mark it as owned property, an executory contract, a nonexclusive license, a franchise or membership interest, or a mere invitation.
  4. Read transfer language. Highlight personal-use terms, anti-assignment clauses, consent rights, control-change provisions, renewal discretion, and publisher approval requirements.
  5. Separate bankruptcy grounds from ordinary grounds. Identify whether the counterparty relies on filing or insolvency, nonpayment, conduct, eligibility, branding, or another independent condition.
  6. Assess assumption. Calculate cure, identify nonmonetary defaults, and prepare evidence of adequate assurance for future performance.
  7. Assess assignment or sale. Determine whether applicable nonbankruptcy law excuses the counterparty from accepting an assignee and what the controlling court has held under § 365(c).
  8. Identify retained rights. Schedule marks, footage, sponsor materials, accounts, equipment, and data separately from the competition permission.
  9. Seek the right order. A sale, assumption, rejection, stay-relief, or declaratory request solves a different problem; use the procedure that matches the disputed right.

Because no particular organization’s agreement, docket, purchaser, venue, or license term is identified here, this framework cannot predict a specific outcome. Before relying on it after November 13, 2026, recheck the publisher’s current policy, the relevant league announcement, and controlling bankruptcy authority.

How we picked the distinctions in this guide

The analysis follows the legal ownership and contract categories that determine outcomes: estate property under § 541; the automatic stay under § 362; assumption, rejection, and assignment under § 365; sales under § 363; the Supreme Court’s rejection-as-breach rule; and the publisher’s written conditions. Historical examples are included only when their transaction type and date are identified, so a sponsorship rejection is not mistaken for a team-slot transfer.

Frequently Asked Questions

Can a publisher cancel an esports license just because the organizer filed Chapter 11?

Not automatically. A filing-triggered cancellation may be constrained by bankruptcy law, while a separate failure to meet event, branding, sponsor, conduct, or eligibility conditions can raise a different issue. The effective date of termination and the contract’s exact language are critical.

Does buying an esports company include its social accounts and tournament footage?

Only if those items are estate assets and the sale documents transfer them. Account terms, privacy rules, music and talent releases, sponsor commitments, and third-party platform licenses can limit what a buyer receives even when the debtor owns the underlying brand.

Can a league refuse a replacement owner after a court-approved sale?

Potentially, if the agreement or applicable nonbankruptcy law makes the relationship personal or permits refusal of an assignee. The buyer may still have purchased the debtor’s economic claim or damages remedy, but that is not the same as a right to compete.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

What should a sponsor check when an esports partner enters bankruptcy?

Review trademark permissions, exclusivity, deliverables, content-use rights, termination notices, and any court-approved stipulation. A sponsorship agreement may be treated differently from a team participation contract, as the FTX–Riot order demonstrates.
